BASIC REQUIREMENTS

The franchisee may be a natural person or a commercial law company with management experience, can work remotely.

An investment must have a minimum of 2.3 million PLN / USD 0.6 million own money to pay for licenses

The franchisee must be ready to manage the contracted business or have a designated person.

After concluding the contract, the franchisee candidate undergoes training.

The franchise agreement is concluded for 10 years and applies to a specific location (country or province). The one-time license fee is USD 0.6 million.

When entering into a franchise agreement, the franchisee generally includes one license per country.

The investor in the property is Medshop.One or Franchisee

Decisions regarding the granting of a license for a given country or province of the Medshop.One licensee are taken only by Medshop.One

Every month the licensee pays to the franchisor three fees: franchise, marketing and fees for using the premises / warehouse (if applicable). Licensee does not pay for programmers, analysts, management tools, software licenses (this is done by the headquarters)


GENERAL RULES

Because the license applies to the entire country in most cases, each license is treated individually. Depending on the country, license terms may vary.

Medshop.One deals with finding places for the opening of the branch and the warehouse and their construction, or renting. Medshop.One helps the franchisee to buy, rent or rent real estate and invests in the construction of a new or adaptation of an existing building (premises / warehouse). The franchisee may be the owner or tenant of the premises where he will handle orders coming from the store, however, the warehouse and the premises must meet the standards of Medshop.One. p>

Franchise / License for sale by the Global Medical Marketplace Medshop.One and may be granted to an individual or a company in a given country. It may not be granted to a person, organizational unit without legal personality, several natural persons together, for example, spouses, as well as natural persons conducting business activity in the form of a civil law partnership.


Medshop.One grants franchisees to new franchisees only on existing or prepared branches, and a prepared portal. New branches are launched directly by Medshop.One or already existing franchisees, although a new branch cannot be ruled out in the future by a new franchisee. Medshop.One does not grant territorial exclusivity to franchisees.


Franchisee Medshop.One personally manages his company, office, warehouse. For this reason, Medshop.One accepts "financial investors" interested also in beneficial capital placement or "silent partners". The franchisee may conduct additional business, but must possess and indicate a person who will manage and supervise the entire business on behalf of him. And he will have the right people to run the office and warehouse.

Franchise Medshop.One is generally granted for a limited period of 10 years and does not contain any guarantees of continuation of the franchise relationship, i.e. it does not grant the franchisee a claim for extension of the contract franchise or for a new contract after the current one has expired. Most often, the reason for concluding franchise agreements for a shorter period is the granting of the first license by Medshop.One for a given country, to conduct mail-order sales, for a period of less than 10 years.

Franchise Medshop.One is payable, requires one-time expenses and monthly fees throughout the duration of the franchise agreement. Profit from the sale of all products on the site, marketplace, portal is not subject to distribution and is entirely owned by the franchisee allocated to the country. It depends on many factors: initial investment volume, investment financing structure (loan amount and interest rates), control of current costs, effectiveness of local marketing campaigns, licenses for a given country (whose attractiveness may change within 6 years), increase effects sales, and above all, the franchisee's ability to do business, his involvement in the operation of store service in his country (territories) and the results achieved. Medshop.One franchisees are also required to reinvest in their company (e.g. warehouse, office) for any innovations introduced by Centrale. This applies to the purchase of various types of equipment, but also to major investments, such as the modernization of a warehouse, office building or a change in the production system or the system of shipping to the customer. Medshop.One assists the franchisee in conducting his venture, however, the franchisee, being an independent entrepreneur, is personally responsible for both the performance of the franchise agreement and any other agreements concluded in connection with its performance. The franchisee acts on its own behalf and on its own account, with its own accounting, bank account and responsibility for the business and employment of employees. Medshop.One requires all franchisees to act in accordance with the law and principles of business ethics. The franchisee himself determines the measure of his success through his work, initiative and commitment, even by increasing additional field activities (e.g. increasing the network of traders, sub-distributors, active participation in tenders)

  5. Presentation of the franchise offer - conclusion of the franchise agreement

The described process takes about 5-6 months, including training about 1-2 months. At each of the stages described, both Medshop.One and the franchisee candidate may opt out of continuing the recruitment process. All meetings with the candidate take place in Warsaw and Wocław, headquarters of Medshop.One in Poland. The three-day conversation takes place at the headquarters of Medshop.One. The two-month training at Medshop.One is organized in a branch as close to the candidate's place of residence as possible run by Medshop.One (the training is not possible to be carried out by the franchisee).

A three-day conversation and training is conditional upon the conclusion of an appropriate contract and the receipt and presentation of all relevant required documents.


The entire recruitment process takes place at the expense of the candidate, i.e. it covers the costs of travel, accommodation, meals and does not receive payment for the time spent at the place of training. In addition, the training requires a deposit of USD 15,000 for the training materials provided. The deposit is not refundable regardless of the recruitment result.


TRAINING


The training of a franchisee candidate serves the acquisition of practical and theoretical knowledge directly at the headquarters or branch of Medshop.One and at theoretical courses. The whole training cycle lasts about 2 months, minimum 2 hours a week. The training program assumes preparing the franchisee in such a way that he will be able to open a business in his country and start selling.


TRAINING IS DIVIDED INTO THE FOLLOWING STAGES:


STEP 1 - training in office preparation, application and software handling,

STAGE 2 - training magazine preparation, application, software, pre-implementation

STAGE 3 - training to expand management knowledge

STAGE 4 - training for managers and recruitment


Beginning with Stage 1, practical training is complemented by three or four-day theoretical courses. The candidate participates in three such courses throughout the entire training process. The progress of the candidate is verified by placement tests for individual courses and final tests. Passing the test is a prerequisite for moving to the next stage of training.


OFFER


At the final stage of the training, the franchise candidate receives the franchise offer.

FURTHER ALL CANDIDATES FOR A FRANCHISE CUSTOMER MUST BE PREPARED TO MEET THE FOLLOWING REQUIREMENTS:


Doing business under the name of Medshop.One but on own account and risk.

Hiring the right people.

Participation in 2-month practical and theoretical training.

Having sufficient own funds and the opportunity to invest them.

Purchase of equipment, products, materials for the sole ownership when franchising.

Having the above mentioned features does not guarantee obtaining a Medshop.One franchise. Many additional factors are taken into account when deciding whether to accept a candidate and grant a franchise. Medshop.One as an independent entity makes decisions at its own discretion without being obliged to justify them. Exactly the same principle of free choice applies to decisions by a person interested in the Medshop.One franchise.


Starting the recruitment process in no way binds either party. Both Medshop.One and the franchise applicant have the right to terminate recruitment at any time without giving reasons.


EXPENDITURE WHICH THE FRANCHISO MUST HAVE TO PURCHASE IN FRANCHISE / License MEDSHOP.ONE TO:


Initial License Fee of USD 50,000 (equivalent in PLN at the average exchange rate of the National Bank of Poland applicable on the day of payment).

Guarantee deposit in the amount of USD 20,000 (equivalent in PLN at the average exchange rate of the National Bank of Poland applicable on the day of payment) to secure future receivables of Medshop.One. The Guarantee Deposit is interest-free and refundable after the end of the franchise agreement.

Purchase and stocking of medical products and office and warehouse equipment in the amount of USD 200,000 to USD 1,500,000. The price of branch equipment is not a constant value, because it depends on the sales volume so far obtained in a given country - the larger the population, the higher the stocking price. When launching a new branch, the franchisee purchases equipment directly from approved Medshop.One suppliers.

Also Medshop.One covers part of the equipment and license fees from the franchisee. At 20-45%.

Equipping the Department with materials and office equipment, packaging, cleaning products, etc. approx. 250,000 PLN -

Costs related to starting a business.

Costs related to launching a branch.

These expenses can be financed from two sources, i.e. own resources and credit / loan.


INITIAL COSTS - SINGLE FEES

Purchasing a MEDSHOP.ONE license is a major investment. We require the candidate to have own funds in the amount of minimum PLN 2,300,000. These funds must be entirely allocated to the MEDSHOP.ONE license franchise, some of which is allocated to the fees described below and the purchase of MEDSHOP.ONE branch equipment, and some constitute the required reserve. Own funds are the franchisee's own money, not burdened with any claims; they should not be money borrowed (even against real estate), unofficial donations, shares of "silent partner". Own funds may constitute components of the franchisee's assets (e.g. business, movables or real estate) intended for sale.

HOW WILL MY TRAINING LOOK LIKE?

At Medshop.One there is a special training program that is prepared for franchisee candidates. It is implemented mainly in Warsaw and usually lasts 2 months, depending on the time the candidate may devote to training, however not less than 20 hours a week. At this time, the future franchisee gets acquainted with all aspects of running Marketplace Medshop.One (from the practical and theoretical side), from getting to know employee positions, through managing teams of employees, running the warehouse, administration, equipment, and ending with sales and expenditure budgeting. The training time is quite flexible, so that the candidate can reconcile the training with work or running his own business.


CAN I CREATE A COMPANY WITH A PARTNER?

No. Franchise is granted to only one person, all companies are excluded. In the case of marriages, only one of the spouses can receive the franchise, but both can work in the company.


IS MEDSHOP.ONE PROMOTING MY COMPANY?

MEDSHOP.ONE MEDICAL GLOBAL MARKETPLACE promotes the entire brand, the entire website, the entire portal, the entire marketplace, combining with all products using the latest technologies in advertising using AI, in all countries in which it operates, around the world. Each franchisee is required to pay 5% of its total sales to the Medshop.One marketing fund. MEDSHOP.ONE also makes the same payments and larger than any other branch it runs. The marketing fund pays for national marketing campaigns, product advertising, advertising costs covered in a given country.


HOW MANY EMPLOYEES NEED TO EMPLOY AT THE BEGINNING?

Minimum 1. However, we do not require our franchises to employ a specific number of employees. These can be external contracts, e.g. with companies, warehouse companies, outsourcing. At the beginning, Medshop.One's central office deals with many issues, relieving the franchisee, for example by maintaining servers, software issues, paying programmers and IT specialists, SEM and SEO activities. The franchisee is responsible for the proper setting and supervision of the order cycle in his country / territory as well as ongoing recruitment, training of his crew and managers. And also taking care of formalities in your country, or registering a good or product - registering it at your office.


WHEN DO I HAVE TO COMMIT TO MY MONEY?

All franchisee investments take place after the conclusion of the franchise agreement, which occurs before the training and acceptance by the franchisee presented by Medshop.One license offer.


DO I HAVE TO QUIT OR WORK OR ENTERPRISE?

No. During the training, all decisions regarding professional work, business interests and investing money are only decisions of the candidate / company and do not depend on Medshop.One in any way.


ARE YOU COULD EXPECT ME?

Yes. Basic course (SMC - Shift Management Course), mid-level course (EMP - Effective Management Practices). The courses last 3 or 4 days and take place in Warsaw. The future franchisee does not incur any fees for training and courses organized by Medshop.One, but bears the costs of travel and accommodation, and is also obliged to pay a refundable deposit of USD 15,000 for the training materials and preparations received before training. < / p>


DO MEDSHOP.ONE OFFER LOAN?

No. Medshop.One is not involved in banking. The franchisee is alone responsible for obtaining the investment loan.


DO I HAVE TO HAVE A LOCAL OR ANOTHER REAL ESTATE TO LEARN A BRANCH?

We do not expect the franchisee to own premises. Together with the Franchisee, we deal with Searching and purchasing places for a branch. These matters are dealt with by the Medshop.One Medical Global Marketplace development department.


CAN I ENTER MY OWN PRODUCTS?

YES. MEdshop.One decides what products are sold in our Marketplace. The franchisee is strictly required to strictly comply with the contract, license and shipment of all products. This also applies to disposable parts, accessories and materials.


CAN YOU HAVE MORE THAN ONE LICENSE?

Yes. It is possible to run several branches, however, this is associated with an additional fee. The decision on the possibility of obtaining another License is the sole responsibility of Medshop.One Medical Global Marketplace and depends on the assessment of the functioning of the license currently held in a given country. It usually starts with one license per country.


WHERE WILL MY BRANCH BE LOCATED?

During recruitment, the franchisee candidate presents his territorial preferences. The MEDSHOP.ONE offer presented after the candidate's acceptance and completion of the training takes into account the territorial preferences declared previously by the franchisee. It should be emphasized that MEDSHOP.ONE does not grant territorial exclusivity.


HOW DOES THE Franchise Recipient LICENSE PROCEDURE LOOK LIKE?

At the final stage of the training, Medshop.One presents the franchise offer of a particular branch in a given country. If the franchisee accepts the offer, the following actions are taken:


Adaptation of the branch by the franchisee to open.

Conclusion of franchise agreement.

Conclusion of the contract for the sale of equipment and purchase of products for the launch of the branch.

Formally accepting your office and warehouses

Payment of Initial License Fee and Warranty Deposit.

Obtaining MEDSHOP.ONE License on the date specified in the offer.
